1. Agreement to Terms

By accessing and using Orbeats Africa ("Platform"), you accept and agree to be bound by and abide by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Orbeats Africa for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to decompile or reverse engineer any software contained on the Platform
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

3. Artist Rights & Responsibilities

Artists uploading content warrant that they own or have the necessary rights to all content uploaded, including short-form video content posted to Discover. Artists agree not to:

  • Upload copyrighted content without authorization
  • Upload content that violates intellectual property rights
  • Upload content that is illegal, offensive, or harmful
  • Impersonate another artist or person

4. Identity Verification

To protect artists and fans from impersonation and fraud, every artist account must be manually verified before it can upload or sell music. Verification may require submitting a link to an existing public profile (such as Spotify, Instagram, or TikTok) or other reasonable proof of identity. Orbeats Africa may reject, delay, or revoke verification at its sole discretion, including after an account has already been verified, if we receive credible evidence that an account does not genuinely belong to the artist it claims to represent. Revoking verification will remove that artist's currently published releases from public view - the underlying files are not deleted, and the artist may resubmit verification with additional evidence at any time.

Before withdrawing any earnings, artists must also complete a separate payout verification, which requires submitting a valid government-issued ID, a selfie, proof of address, and verified bank account details. This confirms we are paying the correct individual and helps us comply with applicable financial regulations.

5. Content Reporting, Moderation & Disputes

Fans and artists may report an artist profile or release they believe is fraudulent, impersonating another artist, or uses content the uploader does not have the rights to, using the Report tool available on public profiles and release pages. Orbeats Africa may temporarily remove reported content from public view while a report is under review. A takedown does not delete the content, and purchases, reviews, and royalties already earned are unaffected.

If an artist believes a takedown was made in error, they may submit a dispute with evidence of their rights to the content (such as a distribution confirmation, a split sheet, or other proof of ownership) through their dashboard. Orbeats Africa will review disputes in good faith but retains sole discretion over whether to restore removed content.

6. Commission & Payments

Orbeats Africa retains a 15% commission on all sales. Artists receive 85% of each transaction. Payments are processed within 24-48 hours via Paystack. Orbeats reserves the right to adjust commission rates with 30 days notice.

7. Rise Fund Campaigns

Rise Fund lets an artist with no finished release yet raise money from fans toward producing a real song. The standard 15% platform commission described in Section 6 applies to Rise Fund contributions the same as any other sale.

For some Rise Fund campaigns, Orbeats Africa may take a direct role in fulfillment: arranging or verifying a real production session with a producer, and paying that producer directly out of the funds raised, rather than releasing the funds to the artist. This is offered at Orbeats Africa's discretion and is not guaranteed for every campaign. Where Orbeats Africa provides this service, an additional, clearly disclosed production-facilitation fee may apply on top of the standard 15% commission, to cover the cost of coordinating and verifying the work. Orbeats Africa will not withhold or use Rise Fund contributions beyond the commission and any disclosed facilitation fee.

8. Discover & Short-Form Content ("Moments")

Verified artists may post short-form video clips ("Moments") to their profile and the Discover feed to share unreleased snippets, studio updates, and works in progress. Moments are temporary and are automatically removed approximately 24 hours after posting, or sooner if deleted by the artist. Moments are subject to the same content rules as releases under Section 3, and may be reported and removed under Section 5.

9. Buyer Responsibilities

Buyers agree that purchases are non-refundable except in cases of technical errors within 7 days of purchase. Downloads are for personal use only and may not be redistributed, shared, or sold.

10. Intellectual Property

All music, artwork, and content on Orbeats Africa remain the property of their respective creators. Buyers obtain a personal license to listen, not ownership of the content.

12. Disclaimer of Warranties

The materials on Orbeats Africa's Platform are provided "as is". Orbeats Africa makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

13. Limitations of Liability

In no event shall Orbeats Africa or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Orbeats Africa's Platform, even if Orbeats Africa or an authorized representative of the Platform has been notified orally or in writing of the possibility of such damage.

14. Accuracy of Materials

The materials appearing on Orbeats Africa could include technical, typographical, or photographic errors. Orbeats Africa does not warrant that any of the materials on the Platform are accurate, complete, or current. Orbeats Africa may make changes to the materials contained on the Platform at any time without notice.

15. Links

Orbeats Africa has not reviewed all of the sites linked to its Platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Orbeats Africa of the site. Use of any such linked website is at the user's own risk.

16. Modifications

Orbeats Africa may revise the terms of service for the Platform at any time without notice. By using the Platform, you are agreeing to be bound by the then current version of the terms of service.

17. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Nigeria, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
